The application for a Capital Markets Services (「CMS」) Licence under the Securities and Futures Act (「SFA」) of Singapore and the development of a compliance framework. The basic requirements are as below:

-商業模式/商業計劃和經營展望以及相關風險。
When assessing an application for a CMS licence, MAS takes into account factors such as:
Fitness and propriety of the applicant, its shareholders and directors.
Track record and management expertise of the applicant and its parent company or major shareholders.
Ability to meet the minimum financial requirements prescribed under the SFA.
Strength of internal risk management and compliance systems.
Business model/ plans and projections and the associated risks.
審核周期和政府收費：
Processing Time and Government Fee
如果商業模式簡單明了，申請人完全符合相關標準，並且申請完整清晰，MAS 預計審核和處理申請的時間為超過 4 個月左右。對於更複雜的或者更大型的公司，或者信息被評估為不完整或不準確的案件，MAS 將需要更長的時間來審查申請。所以請務必聘請專業服務團隊。
MAS expects to take not more than 4 months to review and process an application if the business model is straightforward, the applicant meets the relevant admission criteria fully, and the application is complete and clear. For more complex cases, or cases where information is assessed to be incomplete or inaccurate, MAS will need a longer time to review the application.
政府會收取一次性申請費用1000新幣（不可退），如有其他費用或通過官方郵件告知。如果授權牌照，每年需要繳納2000到8000新幣不等的執照年費。
A non-refundable application fee of $1,000 is required. A fee advice and instructions on the amount and manner of payment for the application fee will be e-mailed to your company. There are two types of annual fees – (i) annual fees for the CMS licence; and (ii) annual fees for the representatives appointed by the CMS licensee. The annual fee is the sum of the annual fees payable across all regulated activities of a CMS licensee.

一、（必須）準備 CMS 許可申請——這將包括提供戰略建議、準備必要的申請表格、共同起草全面的商業計劃（列出您的預期業務、產品類型、目標投資者、關鍵人員介紹、預計業務收入、團隊組成和組織結構、公司治理、風險和合規框架），申請過程需回答MAS金管局的多輪問詢，律師團隊會服務直到許可申請過程結束。
Preparation of CMS licence application–This will include providing strategic advice, preparation of requisite regulatory forms, co-drafting of a comprehensive business plan (setting out your intended business, product types, targeted investors, introduction to key personnel, projected business revenue, team composition and organisation structure, governance, risk and compliance framework), as well addressing multiple rounds of questions from the MAS, until the conclusion of the licensing application process.

Drafting of Compliance Framework. We will draft a comprehensive set of compliance manual to ensure your compliance with MAS regulations. This will include more than ten areas such as AML/CFT, Code of Conduct, Conflicts of Interest etc.

The scope of the audit is to essentially to address the compliance and controls framework of your compliance obligations under the SFA. We will discuss with the Company the intended scope of an audit program. This will be a function of regulatory expectations as well as the risk factors arising from your business activities.
